2. The Service
UnicoOS is a business operating platform providing CRM, invoicing, scheduling, SMS/email campaigns, AI tools, POS, and related features. We reserve the right to update or modify features with reasonable notice.
3. Accounts & Billing
- You must provide accurate information when registering.
- You are responsible for maintaining the security of your account credentials.
- Plans are billed monthly or annually via Stripe. Yearly plans are billed in full at signup.
- Free trials do not require a credit card. Paid plans begin after the trial period.
- You may cancel at any time. Monthly plans cancel at end of billing period. Annual plans are non-refundable after 7 days.
4. SMS & Communications
You agree to use UnicoOS SMS features in compliance with all applicable laws including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. You are solely responsible for obtaining proper consent from your customers before sending them text messages. All messages must include opt-out instructions. Misuse of SMS features may result in account suspension.
5. Acceptable Use
You may not use UnicoOS to:
- Send spam or unsolicited messages
- Violate any applicable law or regulation
- Harass, threaten, or harm others
- Attempt to gain unauthorized access to the platform or other accounts
- Resell the platform without an Enterprise plan
6. Data & Privacy
Your use of UnicoOS is also governed by our Privacy Policy. You retain ownership of all data you add to your account. We do not sell your data.
7. Identity Verification & Age Statements
You authorize Stripe, Inc. and Plaid Inc. to verify your identity when you start an identity check in UnicoOS. By submitting a government ID, you certify it is genuine and you are the person depicted.
Submitting an altered, borrowed or forged document, or someone else's document, is a breach of these Terms and grounds for immediate termination. UnicoOS may report suspected document fraud to the provider and, where required, to authorities.
Identity verification is optional. Declining it does not close your account. Features that the law requires us to verify identity for, such as routing a UniLend application to a live lender partner, remain unavailable until a check passes. The list of those features is shown before you are asked to verify and in our Privacy Policy.
When you confirm that you are 18 or older to view content marked 18+, you certify that this statement is true. Making that statement falsely is a breach of these Terms, and UnicoOS may rely on it in any dispute about your access to that content.
How verification data is collected, used and kept is described in our Privacy Policy, section 6.
8. Limitation of Liability
E1 Unico Corporation is not liable for indirect, incidental, or consequential damages arising from your use of UnicoOS. Our total liability shall not exceed the amount you paid in the 3 months prior to the claim.
9. Termination
We reserve the right to suspend or terminate accounts that violate these terms. You may close your account at any time from the Settings page.
10. Governing Law
These terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas.
Sections 12–14 added October 3, 2026.
13. Mobile Apps
- We give you a personal, non-transferable right to use our phone apps with your UnicoOS account while these Terms apply.
- If you download an app from the Apple App Store or Google Play, that store's terms also apply. The store is not responsible for the app or for supporting it; we are.
- Apps may send notifications if you allow them. You can turn them off in your phone's settings.
14. Deleting Your Account
You can delete your account at any time in Settings → Account → Delete my account, or by emailing unico@e1unico.com. Your account is locked right away, and your data is removed within 30 days, except records we must keep by law. Deleting your account does not cancel amounts you already owe. Details are on our Data deletion page.
Sections 15–19 added October 6, 2026.
15. UnicoOS Business Account (banking through Column N.A.)
A UnicoOS Business Account is a real deposit account in your business's name. It is held at Column N.A., Member FDIC ("the bank"). UnicoOS is the software you use to open and run it; UnicoOS is not a bank and does not hold your money. The bank's own deposit account agreement governs the account, and you accept it when you open one.
- Who can open one: a U.S. business with a legal name, EIN (or other registration number) and physical address, run by a person who can bind it. The bank verifies this information and may ask for more, including who owns 25% or more of the business and who controls it, and documents that prove it.
- Your signature is a click. Before the account opens you read and tick the account agreements on the Banking page. Ticking the box is your electronic signature. We record the date, time, version of each agreement, and the connection it came from, and we share that record with the bank. You agree to receive account records and notices electronically.
- Your money, your responsibility. What goes in and out of the account is your decision and your responsibility. UnicoOS moves money only when you tell it to.
- Nothing illegal. You may not use the account for fraud, money laundering, paying for or financing anything criminal, getting around sanctions, evading taxes, or receiving money you know came from a crime. If the bank or UnicoOS sees activity that looks illegal or against the bank's rules, the account can be frozen, limited or closed, and the law may require it to be reported. Neither the bank nor UnicoOS can skip that.
- Keep your details true and current. You certify that the legal name, EIN, address, owners and control person you give us are accurate, and you agree to update them when they change. Giving a bank false information to open an account is a crime.
- Testing mode. While a Business Account shows Sandbox, it moves simulated money on the bank's test system, not real funds. Nothing in sandbox is a deposit, and balances shown there have no value.
- Fees. Any fee for a Business Account is shown to you before you confirm. Your UnicoOS plan price does not include bank fees unless it says so.
- Problems and disputes. Tell us right away at unico@e1unico.com if you see a transaction you don't recognize. The bank's deposit account agreement sets out your rights and deadlines for disputing a transaction.
- Closing. You can ask to close the account at any time once its balance is zero. Records of the account are kept as long as banking law requires, even after you delete your UnicoOS account (section 14).
16. UniCash Wallet and Moving Money
- Your UniCash balance is a record kept by UnicoOS of money you have added and spent inside UnicoOS. Real money moves only when you start a top-up or a withdrawal.
- Top-ups and withdrawals travel by bank transfer (ACH) between a bank account you link through Plaid and an account held at Column N.A. A transfer can take one or more business days, and a bank can return it. If a top-up is returned, the matching amount is removed from your balance; if a withdrawal is returned, it is put back.
- We may hold, review or refuse a transfer to protect you, other users or the bank, and we may limit how much you can move. We will tell you when we do, unless the law stops us.
- Payroll direct deposit works the same way: net pay you approve is sent by ACH through Plaid Transfer from your linked business bank account to the employee's linked account.
- A UniCash balance is not a bank deposit and is not insured by the FDIC unless it is sitting in a Business Account described in section 15.
17. Payroll and 401(k)
UnicoOS payroll figures pay, withholding and deductions for the people you pay, prints stubs and checks, prepares W-2s, 1099s and year-end forms, and — if you turn on 401(k) — handles pre-tax and Roth contributions, 401(k) loan repayments, your employer match, the per-payroll contribution file and the year-end census your 401(k) provider needs, and the W-2 box 12 totals.
- You are the employer. You are responsible for the accuracy of the hours, pay rates, elections, addresses and tax details you enter, for approving each payroll, for paying and filing your taxes on time, and for your duties as the sponsor of any retirement plan. UnicoOS is a tool, not your payroll agent, plan provider, recordkeeper, fiduciary, accountant or lawyer.
- 401(k) limits and rules. UnicoOS applies the IRS contribution limits and catch-up amounts for the pay date, and figures pre-tax 401(k) off federal income-tax wages while Social Security and Medicare stay on full gross. Your plan document and your 401(k) provider control; check anything that matters with them.
- Contribution files and the census go where you send them. UnicoOS creates these files for you. They leave UnicoOS only when you download or send them to your provider.
- Check before you rely. Tax rules change. Review every payroll before you approve it and every form before you file it. If a figure looks wrong, stop and contact us before paying or filing.
18. Email Hosting, Phone Line, Voice and AI Features
- UniMail mailboxes are hosted for you by our mail provider on a domain you own in UnicoOS. You are responsible for what you send and for following anti-spam law (including CAN-SPAM). Mailbox plans are billed monthly; canceling pauses the mailbox, it does not delete it.
- UnicoOS phone line and texting run on Twilio. Calls and texts are your communications; the consent and recording rules in section 4 apply, and you must follow call-recording laws where you and the other person are.
- Voice and video sessions (for example UniRo) run on a real-time media provider. Only the people you invite can join.
- AI features (UnicoAI, UniRo and every AI-assisted tool) produce text, suggestions and answers from the information you give them. They can be wrong, out of date or incomplete. Review what they produce before you use it, especially anything legal, tax, medical or financial. AI output is not professional advice. Features that use AI credits deduct them as shown.
19. How These Terms Change
When we update these Terms we add new sections with their own "added" date and move the "Last updated" line at the top. The sections already here stay as written, so you can always see what you agreed to and when. For a change that limits your rights, we give reasonable notice first (section 2). Continuing to use UnicoOS after a change means you accept it.
Section 20 added October 6, 2026.
20. UnicoChurch: Giving, Receipts and the Church Treasury
UnicoChurch lets a church, ministry or other religious organization (the church) receive gifts through a public giving page, a card, a QR code, a live-stream watch page and recurring gifts, keep a treasury, send receipts and annual statements, and stream services. These terms add to everything above.
- Gifts go to the church, not to UnicoOS. A gift is a payment from the donor to the church. UnicoOS keeps no part of a UniCash gift. Card and bank gifts carry the payment network's own processing cost, shown before the donor commits; the church chooses whether to absorb it or ask the donor to cover it. UnicoOS adds nothing above that cost.
- The church treasury is a record kept by UnicoOS of gifts received and payouts made, like a UniCash balance (section 16). It is not a bank deposit and is not FDIC insured unless the money is sitting in the church's own Business Account (section 15). The church moves money from the treasury to its bank from the Payouts page; UnicoOS may hold, review or refuse a payout to protect the church, donors or the bank, and will say so.
- Tax status is the church's to prove. A church declares its tax status and shows proof (an IRS determination letter, an EIN letter and bylaws, or a signed church attestation). Until UnicoOS has reviewed proof, the church runs in taxable mode: receipts are payment receipts, not receipts for tax-deductible contributions, and say so in bold. The church is responsible for the accuracy of what it declares and uploads, for its own filings, and for telling UnicoOS if its status changes. UnicoOS is not the church's accountant, lawyer or tax adviser.
- Receipts and annual statements are generated by UnicoOS on the church's behalf from the church's own records and settings (legal name, EIN, address, the IRS Publication 1771 statement the church chose). The church is the issuer. A refund cancels the receipt with a credit memo and is netted out of the annual statement.
- Refunds. A church may refund a gift within the window shown on its Giving page. A card refund returns the amount to the donor's card; the card network keeps its processing cost, which the church bears. UniCash refunds return to the donor's wallet.
- Recurring gifts run on the day the donor chose until the donor pauses or stops them from the giving page, or the church stops them. A short UniCash balance pauses a recurring gift after three misses.
- Live streaming, prayer requests and attendance. Streams are the church's own broadcasts; the church is responsible for what it streams and for any music, image or likeness rights. Prayer requests are private to the church's pastoral team by default. Attendance is counted from an anonymous viewer id unless the viewer is signed in.
- Campuses and denominations. A campus is part of the same church (one legal entity) and shares its tax status and bank. A denomination that a church links to sees that church's totals, donor counts and service schedule, never donor names, and cannot move the church's money or change its settings. Either side can end the link.
- No advertising on church surfaces. UnicoOS shows no sponsored placements on church pages, giving pages, watch pages, receipts or church emails, on any plan. The only exception is a placement whose advertiser is itself a church, ministry, denomination, faith publisher or faith event.
- Plans. UnicoChurch is a paid subscription after its trial, billed like any other UnicoOS plan (section 3). If a church stops paying, its public giving page stays up and gifts still reach its treasury; the admin tools lock until the plan is paid.
